1. General

By accessing or using TON Cash, a Telegram Mini App, you agree to these Terms and any changes made from time to time. These Terms govern your relationship with TON Cash and the services provided.

TON Cash is owned and operated by Terracotta Warriors Limited, a Hong Kong-based limited liability company registered at 15F, Unit B, Yardley Commercial Building, 3 Connaught Road, Sheung Wan, Hong Kong S.A.R.

2. Registration and Account Security

• To become a user, you must be at least 18 years old and agree to share your Telegram account data with TON Cash upon signup. This is required to provide a seamless service.

• Users may be required to fill out their profile and must provide accurate information during registration and in case of any changes to their profile.

• Unauthorised account activity may result in suspension or termination.

3. Use of the TON Cash Telegram Mini App

Users agree to comply with all laws when using the App and not misuse the service. The Company reserves the right to suspend or terminate accounts for non-compliance or abuse.

Not an Exchange or Custodian

TON Cash is a reward platform and not a cryptocurrency exchange or custodian. Users cannot purchase cryptocurrency through the app or transfer cryptocurrency from external sources. Any cryptocurrency sent to TON Cash's addresses belongs to the Company.

4. Cashback and Rewards Program

4.1 Overview

TON Cash offers cashback and rewards for purchases with partner merchants, subject to the following terms:

• Eligibility: Cashback is awarded for valid, confirmed purchases.

• Rates: Cashback rates vary by merchant and may change without notice.

• Changes by Merchants: TON Cash is not responsible for any changes, cancellation, or modification of offers by merchants. Users should verify offer details before making purchases.

• Redeeming Cashback: Cashback can be redeemed per the methods available in the app. Cashback may have expiration dates.

• Fraudulent Activity: Manipulating the system (e.g., through fake accounts) will lead to forfeiture of rewards and possible termination.

• Non-Transferability: Cashback is personal to the user and cannot be transferred or sold.

To earn cashback from TON Cash, you must:

• Be signed into your account.

• Use the shopping links provided within the Telegram Mini App.

• Allow cookies for affiliate and merchant sites in your browser and disable AdBlockers (including built-in browser blockers like Brave).

• Complete your purchase in the same session after clicking the shopping link, and clear your cookies before making subsequent purchases from the same merchant.

Visiting other sites (e.g., coupon injectors, cashback extensions) before completing your purchase may result in losing your cashback, as your purchase may be attributed to another service. Disabling cookies will prevent you from earning cashback, as cookies are used to verify your eligibility and track the transaction.

4.2 Exclusions

Purchases of gift cards and certain categories of products do not qualify for cashback. Exclusion terms vary by merchant and offer. TON Cash will make reasonable efforts to provide a list of exclusions, but this list is subject to change without notice. Terracotta Warriors Limited is not liable for incorrect or incomplete exclusion information.

4.3 Calculating Your Cashback

Your cashback is calculated on the net purchase amount, excluding taxes, fees, shipping, discounts, returns, and warranties. TON Cash works with affiliate networks to track purchases and may receive commissions in currencies different from your purchase currency. Cashback may be converted from the affiliate network's local currency (e.g., USD) to the currency displayed within the app. If receiving rewards in cryptocurrency (such as Bitcoin, TON or USDT), TON Cash may convert your cashback directly into Bitcoin at the market rate on the reconciliation date after returns or refunds. 

4.4 Rewards Adjustments

TON Cash may adjust your rewards for returns, cancellations, or other transactions. Such adjustments will comply with these Terms, merchant agreements, and applicable laws.

4.5 Transfer to Cryptocurrency Address

If you wish to receive your cashback in cryptocurrency (e.g., Bitcoin, TON or USDT), you may request TON Cash to transfer the balance to your provided address. It is your responsibility to ensure the address is correct, and TON Cash is not liable for payments sent to incorrect addresses.

Please note that there are minimum withdrawal limits to ensure a meaningful payout after network fees.

4.6 Transfer Delay

TON Cash reserves the right to delay transfers based on changes to merchant policies. Once a transfer request is made, it will be processed within 72 hours, but the schedule may change due to maintenance, fraud prevention, or other technical issues.

4.7 Transfer Fees

Transfers may be subject to transaction fees, which will be disclosed prior to obtaining your approval for the transfer.

4.8 No Custody

TON Cash does not offer custody services. If you choose not to withdraw your rewards, the balance remains under the control of TON Cash until transferred to your account in the form of cryptocurrency, bank transfer, or other payment methods. Some transfer options may be limited based on your location or applicable laws.

4.9 Fraud Prevention and Investigation

TON Cash reserves the right to investigate any suspected fraudulent activity, including suspicious transactions, referrals, or chargebacks. If abuse is detected, rewards may be rescinded, accounts terminated, or membership in the program revoked. TON Cash may delay or withhold payments while investigating potential fraud.

4.10 Taxes

Users are responsible for any taxes arising from their participation in the rewards program, depending on local tax laws.

5. Cryptocurrency Dealings

5.1 Conversion

TON Cash will convert your cashback from fiat to Bitcoin or another supported cryptocurrency at the spot market rate within a specified period. Conversion may occur:

• Within 72 hours after the merchant has provided us the payment for cashback-eligible transactions.

• Up to 5 days after affiliate networks finalise adjustments for returns or chargebacks.

• TON Cash reserves the right to perform conversions in batches or through other commercially reasonable methods. The converted amount will be reflected in your account.

• All decisions made by TON Cash regarding the cashback process, including conversion rates and timing, shall be deemed final and binding.

5.2 Post-Conversion Cryptocurrency Volatility

You acknowledge that cryptocurrency prices are volatile. Any rewards held in cryptocurrency are valued based on the number of token, not the fiat value.

5.3 No Investment Advice

TON Cash does not offer investment advice. Once rewards are converted into cryptocurrency, price volatility may affect the fiat value of the reward. The Company makes no warranties regarding financial outcomes and recommends users consult their financial advisors.

6. Third-Party Merchants

TON Cash facilitates transactions between users and third-party merchants but is not responsible for merchant product or service issues. Users must resolve disputes directly with the merchant.

7. Intellectual Property

All intellectual property rights related to the content and materials on the TON Cash app belong to Terracotta Warriors Limited. Unauthorized use, reproduction, or distribution is prohibited.

8. Data Protection and Privacy

TON Cash complies with relevant data protection laws, including Hong Kong’s Personal Data (Privacy) Ordinance. User data is collected and processed according to our [Privacy Policy]. Personal data will not be shared with third parties without consent unless required by law or to fulfill services.

9. Personal User Data

Users' personal data will be stored securely. Users may access and request the correction of their data. Data is only shared with third parties as needed to provide services or comply with legal obligations.

10. Limitation of Liability

TON Cash provides its services "as is" without warranties. The Company is not responsible for any damages, including data loss or lost cashback, due to the use of the app. Liability is limited to the total cashback earned by the user.

11. Changes to the Terms and Conditions

TON Cash reserves the right to modify these Terms at any time. Any changes will be communicated within the App, and continued use after such modifications will be considered acceptance of the revised Terms.

Laws and regulations regarding cryptocurrencies may change. Users are responsible for ensuring that holding cryptocurrency rewards is lawful. If possession of cryptocurrency becomes illegal, you must stop using TON Cash and close your account. Additional identification may be required to comply with regulations, which may result in account freezes.

12. Prohibited Activities

You agree not to, and will not permit others to:
(i) damage, interfere with, or overload the TON Cash platform; (ii) introduce disruptive code to the platform; (iii) alter or delete any content within the platform; (iv) access the program via automated means (bots, scripts); (v) use disguised redirects for financial benefit; (vi) reverse engineer or decompile the platform; (vii) sell or sublicense the platform; (viii) grant unauthorized access to third parties; (ix) access confidential content unlawfully; (x) interfere with the operation of the platform through unsolicited messages, viruses, or malware; (xi) post defamatory or unlawful material; (xii) infringe third-party intellectual property rights or misappropriate trade secrets; (xiii) engage in illegal or misleading activities through the program.

12.2 Sanctions

To use the platform, you must not reside in a country subject to economic or trade sanctions by Hong Kong or any jurisdiction in which TON Cash operates. Additionally, you must not appear on any sanctions list.

13. Waiver

Failure to enforce any part of these Terms does not constitute a waiver. A waiver of rights will only be valid if provided in writing.

14. Governing Law

These Terms are governed by the laws of Hong Kong, and any disputes arising from these Terms will be subject to the courts of Hong Kong.
